OD1 CRM · SERVICE AGREEMENT

Terms & Conditions

These terms govern access to OD1 CRM workspaces, account pages, public request forms, and client portals operated by OD1Studios.

Effective September 7, 2026Last updated September 7, 2026

Your agreement

By creating an account, accepting an invitation, purchasing a plan, or using OD1 CRM, you agree to these Terms & Conditions (“Terms”) and our Privacy Policy. If you use OD1 CRM for a business or organization, you represent that you have authority to bind it, and “you” includes that organization.

1. Who may use OD1 CRM

You must be at least 18 years old and legally able to enter into a contract. You must provide accurate account information and use the service only for lawful business purposes. A workspace owner controls invitations, permissions, configuration, and business records within that workspace.

2. The service

OD1Studios (“OD1,” “we,” “us,” or “our”) provides software for customer relationship management, work tracking, forms, scheduling, quotes, invoices, payments, documents, communications, automation, and related features. Features and limits depend on the selected plan and may change as the service develops. We may add, modify, or discontinue features, but will provide notice when a material change requires it.

3. Accounts and security

  • Keep passwords and invitation links confidential and use accurate, current contact information.
  • You are responsible for actions taken through your account and for promptly removing access that is no longer authorized.
  • Workspace owners are responsible for teammate permissions and for determining which clients may access a portal.
  • Notify support@onlyday1.com promptly if you suspect unauthorized access.

4. Plans, trials, and billing

Starter is a limited free plan. Paid plans, included capacity, prices, billing cycles, and trial terms are shown on the plan page or at checkout. If you begin a paid trial or recurring subscription, the checkout disclosure controls the charge date, renewal period, and price you authorize. Taxes may be added where required.

Subscriptions renew for the selected billing period until canceled. Cancellation takes effect according to the terms shown in the CRM or checkout, and access may continue through the paid period. Refund eligibility is governed by the checkout terms and applicable law. Failure to pay may result in restricted features, suspension, or termination. Plan limits remain enforceable even if a screen or temporary product issue does not display them correctly.

5. Business and client relationships

OD1 provides technology and is not a party to transactions between a workspace business and its prospects or clients. The workspace business is responsible for its services, schedules, quotes, invoices, taxes, refunds, communications, promises, required notices, and compliance with laws that apply to its industry. Client-portal users should direct service, billing, or record questions to the business identified in their portal.

6. Your content and data

You retain ownership of information and files you lawfully submit (“Customer Content”). You grant OD1 a limited, nonexclusive right to host, copy, transmit, process, display, and back up Customer Content only as needed to provide, secure, support, and improve the service, comply with law, and follow your authorized instructions.

You represent that you have the rights, permissions, and lawful basis needed to submit and use Customer Content. You are responsible for appropriate notices and consents from clients, employees, contractors, and other individuals whose information you place in a workspace. Our handling of personal information is described in the Privacy Policy.

7. Acceptable use

You may not use OD1 CRM to:

  • Break a law, infringe rights, deceive, harass, threaten, discriminate, or facilitate harm.
  • Send spam or unlawful marketing, impersonate another person, or collect information without appropriate notice or authority.
  • Upload malware, exploit vulnerabilities, bypass access controls or plan limits, probe the service, or interfere with other users.
  • Reverse engineer or copy protected portions of the service except where applicable law expressly permits it.
  • Store full payment-card data, unlawful content, or highly regulated information unless OD1 has expressly agreed in writing to support that use.
  • Use automated access in a way that unreasonably burdens the service or violates documented limits.

8. Payments and third-party services

OD1 CRM may connect to Stripe and other services selected by you or the workspace owner. Those services are governed by their own terms and privacy policies. We are not responsible for a third party’s service, availability, fees, decisions, or handling of information. Payment status shown in OD1 CRM may depend on information received from a payment provider or confirmation recorded by the workspace business.

9. AI-assisted features

AI-generated suggestions may be incomplete, inaccurate, or inappropriate. You are responsible for reviewing outputs before applying, sending, or relying on them. AI features do not provide legal, tax, accounting, medical, financial, or other professional advice. Do not submit information to an AI feature unless you are authorized to process it and it is necessary for the requested task.

10. OD1 property

OD1 CRM, its software, design, documentation, branding, and related intellectual property belong to OD1 or its licensors. Subject to these Terms and your plan, OD1 grants you a limited, revocable, nonexclusive, nontransferable right to use the service for your internal business activities. No ownership rights are transferred to you.

11. Feedback

If you provide suggestions or feedback, you permit OD1 to use them without restriction or payment, while respecting the confidentiality of Customer Content and personal information.

12. Availability, backups, and changes

We work to keep OD1 CRM secure and available, but uninterrupted or error-free operation is not guaranteed. Maintenance, hosting failures, internet conditions, third-party outages, security incidents, and events outside our control may affect service. Workspace owners should export important records when appropriate and maintain any backups required by their business or industry.

13. Suspension and termination

You may stop using the service at any time. We may restrict, suspend, or terminate access when reasonably necessary for security, nonpayment, unlawful conduct, material breach, risk to others, or discontinuation of the service. Where practical and lawful, we will provide notice and an opportunity to export available data. Sections that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, liability limits, and dispute provisions.

14. Disclaimers

To the maximum extent permitted by law, OD1 CRM is provided “as is” and “as available.” OD1 disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that the service will meet every business, legal, tax, accounting, security, or regulatory requirement. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

15. Limitation of liability

To the maximum extent permitted by law, OD1 and its owners, personnel, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business interruption. OD1’s total liability arising from the service will not exceed the greater of the amount you paid OD1 for the service during the 12 months before the event giving rise to the claim or US $100. These limits do not apply where prohibited by law.

16. Indemnification

To the extent permitted by law, a workspace business agrees to defend and indemnify OD1 and its personnel against third-party claims arising from that business’s Customer Content, services, client relationships, violation of law, or material violation of these Terms. This section does not require indemnification for OD1’s own unlawful conduct.

17. Disputes and applicable law

Before filing a formal claim, you and OD1 agree to make a good-faith effort to resolve the issue by written notice and at least 30 days of informal discussion. These Terms are governed by the laws applicable where OD1Studios is established, without regard to conflict-of-law rules, except where consumer-protection law requires otherwise. Courts with lawful jurisdiction over OD1 will have exclusive jurisdiction unless applicable law provides another forum.

18. General terms

If part of these Terms is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without OD1’s consent; OD1 may assign them as part of a reorganization, financing, merger, acquisition, or transfer of the service. These Terms, the Privacy Policy, plan disclosures, and any written order terms form the agreement regarding OD1 CRM.

19. Changes and contact

We may update these Terms. We will change the “Last updated” date and provide additional notice when required. If you continue using the service after revised Terms take effect, you accept them to the extent permitted by law.
